ffmpeg -vcodec xvid -b 300 -qmin 3 -qmax 5 -bufsize 4096 -g 300 -acodec aac -ab 96 -i input_file.avi -s 320x240 -aspect 4:3 ipod_output.mp4
Seems to work, but what is left out is that you must both install the xvid driver (download one of the compressed files, unpack, ./configure,make, (as root) make install ) and then install ffmpeg.

The ffmpeg download page recomends that you use a cvs snapshot version and gives the command for getting it.
cvs -z9 -d:pserver:anonymous@mplayerhq.hu:/cvsroot/ffmpeg co ffmpeg
cd ffmpeg
./configure
This is where I ran into troubles, for some reason, (I don't know why) it ships with XviD support via xvidcore [default=no]. So you have to add some options to configure:
./configure --enable-gpl --enable-xvid
now I can't even get it to compile .. ... ugh
